PropTech sits at the crossroads of real-estate law, financial services regulation, and technology law. Digital platforms facilitating property transactions, management, or financing must comply with real-estate intermediary regulations, where applicable consumer-protection and distance-selling rules, and, where fractional ownership or investment products are involved, securities and investment-regulation frameworks. In Türkiye, the Taşınmaz Ticareti Hakkında Yönetmelik governs licensed property intermediaries; EU platforms must navigate the complex interplay between national property law and horizontal EU consumer-protection instruments; US platforms must address state-level broker-dealer and real-estate licensing requirements.

Tokenisation is reshaping the PropTech capital stack. Fractional ownership tokens, real-estate investment DAOs, and blockchain-settled property registries each raise questions of asset classification, investor qualification, and prospectus obligations. Under the EU's MiCA regulation, some tokenised real-estate structures may qualify as asset-referenced tokens subject to authorisation; under the US securities laws, Howey analysis will typically treat property-backed tokens as securities. Our team has advised on tokenisation structures across both regimes and can structure compliant offerings from the outset.

Data flows are substantial in PropTech, from tenant surveillance and smart-building sensors to credit-scoring and AVM (automated valuation model) inputs. Processing this data triggers GDPR, KVKK, and US state privacy obligations, including purpose limitation, data-minimisation, and automated-decision transparency requirements.
