A DAO without legal structure is, from most legal systems' perspective, either a general partnership, in which every token holder may be jointly and severally liable for the DAO's obligations, or an unrecognised association that cannot hold property, enter contracts, or open bank accounts in its own name. Neither position is acceptable for a serious protocol. Legal structuring resolves this by wrapping the DAO in one or more legal entities that interact with the off-chain world on behalf of the on-chain governance community.

In the EU and Türkiye, we analyse whether the DAO's governance token constitutes a regulated financial instrument, whether its treasury management activities trigger licensing, and which entity type, foundation, association, LLC, or purpose-built DAO wrapper, best serves the protocol's needs. We map out the governance relationship between the on-chain community and the legal entity, draft the constitutional documents that make on-chain votes legally operative, and design the operational boundaries of the wrapper so that it does not inadvertently centralise the protocol.

Can a DAO be sued or held liable without a legal entity?
In most jurisdictions, a DAO without a legal entity wrapper is treated as an unincorporated association or general partnership. Does forming a legal entity for a DAO compromise its decentralisation?
Not if it is structured carefully. The legal entity acts as the DAO's agent in the off-chain world, signing contracts, holding assets, employing contributors, while remaining subordinate to on-chain governance decisions. Which jurisdictions are most DAO-friendly?
Wyoming (USA) and the Marshall Islands have enacted specific DAO LLC legislation. Several European foundations (Cayman, Panama, Switzerland, Liechtenstein) and the Isle of Man have established track records for protocol governance. Türkiye does not have DAO-specific legislation but offers association and foundation structures suitable for some DAO wrapper needs. We select the jurisdiction based on the protocol's operational geography and community.
What are the Turkish regulatory considerations for a DAO with Turkish participants?
Turkish participants holding governance tokens may be subject to Turkish capital markets law obligations if those tokens are treated as capital market instruments by the CMB. The DAO's treasury management activities could also attract BDDK attention if they resemble banking or payment services. We assess these risks before structuring and design the wrapper to minimise regulatory exposure for Turkish participants.
