Startups operate in a legal environment that rewards early precision: the wrong entity structure, a missing vesting schedule, or an ambiguous founder agreement can create problems that are expensive to unwind at Series A and nearly impossible to fix before an exit. We advise early-stage companies on entity formation in Türkiye, Delaware and other preferred jurisdictions, design cap tables that work for both angel rounds and institutional investors, and draft the founder, advisor and employee agreements that protect the business as it scales.
When capital comes in, we represent both founders and investors, advising on SAFE notes, convertible instruments, seed and Series A term sheets, and the shareholder and investment agreements that follow. We are familiar with the documentation expectations of US institutional funds, EU venture funds and Turkish family-office investors, which allows us to bridge the gap when deal parties come from different markets.
Later-stage work includes due diligence for growth rounds, cross-border M&A structuring, ESOP design, and secondary transactions. For venture capital funds themselves, we advise on fund formation, LP agreements, management company structuring and portfolio company governance. Our Istanbul and Los Angeles offices give founders and investors direct access to counsel in both markets without needing to coordinate separate law firms.
